Extreme Cleaning and Hoarding Services: Terms of Service
Company Name: CleanSpaceCo Inc.
Company Address: 44 Longbourne Dr Suite 210, Etobicoke, ON M9R 2M7
1. Acceptance of Terms
By engaging CleanSpaceCo Inc. for services, including but not limited to extreme cleaning, decluttering, sorting, and disposal (collectively, "the Services"), and specifically by paying the invoice issued by The Company, the Client expressly acknowledges that they have read, understood, and agreed to be bound by these Terms of Service. These Terms constitute a legally binding agreement between the Client and The Company.
2. Scope of Services
CleanSpaceCo Inc. agrees to provide the Services at the Client's property located at the address specified above, as detailed in the agreed-upon estimate or service agreement. The Services are undertaken due to the unique and challenging conditions of the property, which may involve extensive clutter, hoarding conditions, unsanitary elements, and hidden hazards.
The Company's staff are trained professionals who will exercise reasonable care and diligence in performing the agreed-upon Services. We will endeavor to work collaboratively with the Client where feasible and safe, with the primary objective of restoring the property to a habitable and safe condition.
3. Acknowledgment of Inherent Risks
The Client acknowledges and understands that, due to the nature and existing conditions of the property (including but not limited to extensive clutter, hidden debris, biological hazards, sharp objects, structural instability risks, and unsanitary environments), there are inherent and unavoidable risks associated with the provision of extreme cleaning and hoarding services. These risks include, but are not limited to:
Damage to Property: Potential for inadvertent damage to personal items, property structures, fixtures, or utilities during the cleaning, sorting, moving, or disposal process.
Loss or Misplacement of Items: The possibility of items being inadvertently misplaced, lost, or discarded during the extensive decluttering and sorting process, especially given the volume and disorganization often present in hoarding situations.
Exposure to Hazards: While The Company takes precautions, there is a risk of exposure to biological, chemical, or physical hazards present on the property.
Unforeseen Conditions: Discovery of unforeseen conditions, pests, or structural issues that may require additional services, specialized intervention, or may impact the scope and duration of the Services.
4. Client Responsibilities and Representations
The Client agrees to the following:
Disclosure of Hazards: To disclose any known hazardous materials, dangerous items (e.g., firearms, sharp objects, chemicals), or structural instabilities present on the property prior to the commencement of Services.
Removal of Valuables: To remove all items of significant monetary, sentimental, or irreplaceable value (e.g., cash, jewelry, important documents, family heirlooms, medications) from the premises prior to the commencement of Services, or to clearly identify and secure such items. The Company shall not be responsible for the security or safeguarding of such items unless specifically agreed upon in writing and documented.
Access: To provide safe, clear, and unhindered access to all areas of the property where Services are to be performed.
Decision-Making: To be available for decision-making regarding the sorting and disposal of items, or to designate a responsible party with full authority to make such decisions in their absence. If the Client is unavailable, The Company will use its best judgment based on prior discussions and the overall objective of the cleanup.
Utilities: To ensure all necessary utilities (e.g., water, electricity) are functional and accessible for the duration of the Service.
5. Access to Property (If Applicable)
By agreeing to these terms, the Client consents to the following regarding access to the property:
If necessary, CleanSpaceCo Inc. staff may enter my home when I am not present in order to provide the cleaning service described above.
CleanSpaceCo Inc. staff may access my home with help from my superintendent, caseworker, and/or designated caregiver in my absence for the purpose of providing the extreme cleaning service.
CleanSpaceCo Inc. cleaning staff may continue to work in my apartment on their own if and when I need to leave my home for any length of time.
6. Disposal of Items
The Client understands and agrees that a significant part of extreme cleaning and hoarding remediation involves the disposal of items deemed trash, unsalvageable, or agreed upon for removal.
The Company will make reasonable efforts to identify items for disposal based on discussions with the Client and the overall goal of the cleanup.
Items clearly identified as trash, hazardous waste, or non-salvageable (e.g., moldy, pest-infested, broken beyond repair) may be immediately discarded.
For items of uncertain value or status, The Company will attempt to seek clarification from the Client or their designated representative. However, in the event of the Client's unavailability or inability to make timely decisions, The Company reserves the right to use its professional judgment in disposing of items to ensure project progress and completion.
7. Payment Terms
Invoicing: Invoices will be issued upon the start of services, or at agreed-upon milestones for larger projects.
Payment Due Date: Payment is due within 7 days of the invoice date.
Deposits: A non-refundable deposit of 25% of the estimated service cost may be required prior to the commencement of Services.
8. Cancellation and Rescheduling Policy
Company Cancellation: The Company reserves the right to cancel or reschedule Services due to unforeseen circumstances, safety concerns, or non-compliance with these Terms. In such cases, The Company will endeavor to provide reasonable notice and reschedule at the earliest convenience.
9. Limitation of Liability
THE CLIENT HEREBY EXPRESSLY ABSOLVES, RELEASES, INDEMNIFIES, AND HOLDS HARMLESS CLEANSPACECO in ITS EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES (COLLECTIVELY, "THE COMPANY PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, AND CAUSES OF ACTION WHATSOEVER, INCLUDING WITHOUT LIMITATION, CLAIMS FOR NEGLIGENCE, FOR ANY LOSS, DAMAGE, DESTRUCTION, OR MISPLACEMENT OF PERSONAL PROPERTY, OR FOR ANY INJURY OR DAMAGE TO THE PREMISES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE PROVISION OF THE EXTREME CLEANING AND HOARDING SERVICES.
This limitation of liability extends to, but is not limited to, any inadvertent damage to items or property, or the inadvertent discarding or disposal of items during the cleaning, sorting, and decluttering process, given the challenging and often unpredictable nature of the work.
The Client understands that The Company will take reasonable precautions, but cannot guarantee the complete prevention of such incidents due to the unique and extreme conditions of the property. In no event shall The Company's total liability to the Client for any and all claims arising out of or in connection with these Terms or the Services exceed the total amount paid by the Client to The Company for the specific Services giving rise to the claim.
10. Indemnification
The Client agrees to indemnify, defend, and hold harmless The Company Parties from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees and costs, arising out of or in any way connected with: (a) the Client's breach of any term of these Terms of Service; (b) any injury to persons or property caused by the Client's negligence or willful misconduct; or (c) any pre-existing conditions on the property not disclosed by the Client that cause damage or injury during the Service.
11. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
12. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any dispute arising under or in connection with these Terms shall first be attempted to be resolved through good faith negotiation between the parties. If a resolution cannot be reached, the parties agree to consider mediation. If mediation is unsuccessful, any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of Ontario.
13. Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
14. Entire Agreement
These Terms of Service constitute the entire agreement between the Client and The Company regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
15. Amendments
The Company reserves the right to amend these Terms of Service at any time. Any amendments will be effective immediately upon posting on The Company's website or providing notice to the Client. Continued use of The Company's Services after such amendments constitutes acceptance of the revised Terms.
